Terms of Service - DragonScale

1. SERVICE DESCRIPTION

DragonScale provides algorithmic deal diagnostic assessments. The service analyzes deal structure based on information you provide and states structural conditions and consequences.

DragonScale does NOT provide:

Consulting or coaching
Legal, financial, or professional sales advice
Recommendations on what actions to take
Forecasting guidance or commit decisions

The service is for informational purposes only.

AI DISCLOSURE

DragonScale utilizes Artificial Intelligence (AI), including large language models, to generate narrative analysis. You acknowledge that AI-generated content may be inaccurate, incomplete, or contain errors. The narrative analysis is a secondary interpretation of structural data and should not be relied upon as the sole basis for any business decision. In the event of any inconsistency, the computed verdict and scores control over narrative language.

2. PRODUCTS AND PAYMENT

Deal Check: Free eligibility screening
Deal Blueprint: $50 per assessment, non-refundable
Payment processed by Stripe
All sales final — diagnostic delivered immediately upon payment
Opening or accessing the diagnostic report constitutes consumption of the digital product

3. USER RESPONSIBILITIES

Provide accurate information about your deals
You are solely responsible for how you use the diagnostic information
Do not attempt to manipulate or abuse the system

PROHIBITED DATA

You agree NOT to upload, input, or submit:

Sensitive Personal Information (health data, financial account numbers, government identifiers)
Data that violates a non-disclosure agreement (NDA) with your employer or customers
Confidential customer data you are not authorized to share
Export-controlled data (ITAR/EAR)
Any illegal, defamatory, or harassing content

4. NO GUARANTEE OF RESULTS; YOU ARE THE FINAL ARBITER

DragonScale is a measurement tool, not a decision-maker.

The diagnostic reflects deal conditions as reported by you, not actual outcomes
Sales outcomes depend on many factors beyond structural analysis
A "WALK AWAY" verdict is not advice to abandon a deal; it is a statement that decision conditions were not detected based on your inputs
A "READY TO SLAY" verdict is not a guarantee of success; it is a statement that structural conditions appear present based on your inputs

You acknowledge that:

Any action taken — including removing a deal from a forecast, ceasing sales activities, or changing resource allocation — is an independent business decision made solely by you
DragonScale does not recommend any specific action
You do not rely on DragonScale as a substitute for your own judgment, experience, or internal decision processes

NO RELIANCE

You agree that no reliance is placed on any verdict, narrative, or diagnostic output as the sole basis for any business decision. DragonScale outputs are not instructions, directives, or recommendations.

5. INTELLECTUAL PROPERTY

DragonScale and all underlying software, algorithms, scoring logic, report formats, and diagnostic frameworks are owned by DragonScale.

You retain ownership of the information you submit.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable license to use the diagnostic output for your internal business purposes only. You may not resell, redistribute, or commercially exploit the diagnostic output.

6. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, OR ERROR-FREE. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE FREE OF ERRORS, OMISSIONS, OR INACCURACIES.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total aggregate liability arising out of or related to the service in any twelve-month period is limited to the amount you paid (maximum $50)
We are not liable for:
- Lost sales, lost revenue, or lost opportunities
- Lost commissions or reduced compensation
- Forecasting errors or pipeline decisions
- Lost profits or business interruption
- Any business decisions made based on the diagnostic
- Errors, omissions, or inaccuracies in any algorithmic or AI-generated analysis
- Any consequential, incidental, indirect, special, or punitive damages

YOU ACKNOWLEDGE THAT SALES OUTCOMES ARE INHERENTLY UNCERTAIN AND THAT YOU USE THIS SERVICE AT YOUR OWN RISK.

8. INDEMNIFICATION

You agree to indemnify and hold harmless DragonScale, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the service
Your violation of these Terms
Your submission of prohibited data
Any business decisions you make based on the diagnostic

9. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising out of or relating to these Terms or the service shall be resolved by binding arbitration in Wake County, North Carolina, conducted on an individual basis. Each party shall bear its own costs and attorneys' fees.

CLASS ACTION WAIVER

You waive any right to participate in a class action, class-wide arbitration, or representative proceeding. All claims must be brought in your individual capacity.

The arbitration shall be conducted under the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

10. TERMINATION

We may suspend or terminate your access for:

Violations of these Terms
Misuse of the service
Abuse of system resources
Submission of prohibited data

11. GOVERNING LAW

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

12. CHANGES TO TERMS

We may update these Terms at any time. Changes are effective upon posting. Continued use of the service constitutes acceptance of the updated Terms.
